These Terms of Service ("Terms") constitute a binding legal agreement between you and Aleph Digital Platforms ("Aleph," "we," "us," or "our") governing your access to and use of our websites, platforms, software, AI-powered tools, and related offerings (collectively, the "Services").
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR Privacy Policy, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.
You must be at least 16 years old and capable of forming a binding contract to use the Services. You represent and warrant that you meet these requirements and that all information you provide is accurate and current.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal purposes. You agree to use the Services only as permitted by these Terms and applicable law.
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
Certain features may require an account. You are solely responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us promptly of any unauthorized access or security breach. We are not liable for losses arising from your failure to safeguard account credentials.
The Services, including all content, software, designs, trademarks, logos, documentation, and underlying technology, are owned by Aleph or its licensors and are protected by intellectual property laws. Except for the limited license expressly granted herein, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works from the Services except as expressly permitted by law or with our prior written consent.
You may submit content, data, prompts, files, or other materials ("User Content") through the Services. You retain ownership of your User Content, but you grant Aleph a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from User Content as necessary to operate, improve, and provide the Services.
You represent and warrant that you own or have all necessary rights to submit User Content and that your User Content does not violate any law or third-party rights. You are solely responsible for User Content and any consequences of submitting it.
The Services may incorporate artificial intelligence, automation, and machine learning. Outputs may be incomplete, inaccurate, biased, or unsuitable for your intended use. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND APPLYING ANY OUTPUTS BEFORE RELYING ON THEM.
THE SERVICES DO NOT PROVIDE LEGAL, FINANCIAL, MEDICAL, TAX, OR OTHER PROFESSIONAL ADVICE. NOTHING IN THE SERVICES SHOULD BE CONSTRUED AS A SUBSTITUTE FOR PROFESSIONAL JUDGMENT OR INDEPENDENT VERIFICATION.

The Services may integrate with or link to third-party products, websites, or services. We do not control and are not responsible for third-party offerings. Your use of third-party services is at your own risk and subject to their terms and policies.
Where fees apply, you agree to pay all charges in accordance with the applicable order form, proposal, or pricing terms. Fees are non-refundable except where required by law or expressly stated otherwise in writing by Aleph. You are responsible for all applicable taxes.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUTS, RECOMMENDATIONS, OR RESULTS WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR OUTCOME.
You acknowledge that use of the Services involves inherent risks, including risks related to data loss, service interruptions, security incidents, and reliance on automated or AI-generated content. You assume all risks arising from your access to and use of the Services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALEPH OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR REPUTATION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED US DOLLARS (USD $100).
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND SURVIVE TERMINATION OF THESE TERMS.
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS ALEPH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, LOSSES, LIABILITIES, DAMAGES, FINES, PENALTIES, COSTS, AND EXPENSES (INCLUDING REASONABLE LEGAL FEES) ARISING OUT OF OR RELATED TO:
We may assume exclusive control of the defense of any matter subject to indemnification, and you agree to cooperate fully at your expense. You may not settle any claim that imposes obligations on Aleph without our prior written consent.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU RELEASE ALEPH AND ITS AFFILIATES FROM ANY AND ALL CLAIMS, DEMANDS, AND DAMAGES OF EVERY KIND, KNOWN OR UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES, EXCEPT WHERE SUCH RELEASE IS PROHIBITED BY LAW.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, release, and governing law.
We are not liable for any failure or delay in performance resulting from events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or utility failures, or third-party service outages.
We may update these Terms at any time. Updated Terms are effective when posted, as indicated by the "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. You agree that the courts of the United Arab Emirates shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where mandatory consumer protection laws provide otherwise.
